The following general terms and conditions apply to Farmers First's sales to corporate customers in Farmers First E-Commerce.
General terms and conditions for machine sales refer to the provisions for agricultural machinery established by Maskinleverantörerna and LRF.

The following general conditions apply to Farmers First's sales to business customers i Farmers First Webshop.

1. Definitions

In these general terms and conditions of sale, the following definitions apply:

  • "Agreement" is the agreement that the Parties have entered into regarding the Customer's purchase of a Product or Products from Farmers First in the Web Store.
  • "Web trade" refers to Farmers First's E-trade.
  • "The customer" is the business customer who enters into an Agreement with Farmers First.
  • "Farmers First" refers to Farmers First Sweden AB, organization number 559257-0542
  • "Party" is either the Customer or Farmers First.
  • "Parties" means the Customer and Farmers First together.
  • "Product" or "Products" refers to the product or products covered by the Agreement.
  • The "Terms and Conditions" are these general terms and conditions of sale, which form an integral part of the Agreement.

2. Order and order confirmation

An Agreement is established when an order has been confirmed by us via e-mail to the e-mail address specified at the time of the order. By ordering, these General Terms and Conditions are accepted. In the event that the Product the Customer has purchased has been discontinued from the manufacturer's range or cannot be delivered for other reasons, the Customer may be offered an equivalent replacement product.

3. Range and product information

Prices and other information are provided with reservation for final sale and for possible errors in text, image and price. Photographs and images of Products that appear in the Webshop are only illustrations. The actual appearance, functions and quantity of the products may differ from these illustrations. Farmers First also reserves the right to design changes and improvements. Farmers First cannot be held responsible for information provided by third parties.

4. Prices and Fees

All prices displayed in the Webshop are stated in Swedish kronor excluding value added tax and are updated continuously. Price adjustment can take place without prior notification due to, for example, exchange rate changes, changed taxes or fees or price changes from the supplier. Until order confirmation is sent out, Farmers First reserves the right to correct incorrect prices. The prices are always quoted excluding shipping and other possible charges that may apply. The shipping cost for the selected delivery method and any additional fees are specified when checking out the shopping cart.

5. Promotions and offers

Various promotional offers may be provided by Farmers First. The scope and other terms of promotional offers are determined separately by Farmers First. Farmers First reserves the right to end a promotional offer early. Discount codes and the like offered by Farmers First have no cash value and cannot be redeemed for cash, credit or the like.

6. Payment and retention of title

Payment can be made by invoice or credit card. Farmers First reserves the right not to always offer all payment options. For payment by invoice, an account with Farmers First is required or that the Customer meets the present creditworthiness requirements. Payment can only be made in Swedish kronor with Swedish value added tax. The Product(s) are the property of Farmers First until it/they are paid.

Invoice
Unless otherwise agreed between the Parties, the invoice must be paid so that the invoice amount is available in Farmers First's bank account no later than thirty (30) days from the invoice date. After the due date of the invoice, late payment interest is charged at the equivalent of 15 percentage points per year. In addition, there is a fee of SEK 80 excluding VAT for a written payment reminder regarding the debt.

Debit and credit cards
Debit and credit cards issued by Mastercard or VISA can be used for payment. Name, social security number, card number, CVC code and the card's validity period must be entered. In addition, the current security requirements may mean that additional measures need to be taken by the Customer in order for the payment to be executed. Farmers First reserves the right to check the card's validity, that there is scope for debiting the purchase and that the Customer's address information is correct. Farmers First may deny purchases as a result of these checks. The Customer's account is debited at the time of purchase and the card payment is handled by Briqpay.

7. Delivery and shipping

Delivery can take place within Sweden. The risk for the Product passes to the Customer when the carrier has handed over the Product to the Customer or, in the case of a pick-up purchase, when the Farmers First drop-off point has handed over the Product to the Customer. Further information and conditions regarding delivery and shipping are given here. For questions about delivery time, the Customer can contact Farmers First's customer support. When ordering a Product that is in stock at Farmers First and that takes place on a weekday before the respective delivery method's cut-off time, as specified below, the Product is sent the same weekday. If the Product that is in Farmers First's warehouse is ordered on a holiday, the Product will be sent the following weekday at the latest. In the event that the selected delivery method cannot be used, e.g. for a dangerous or particularly bulky Product, Farmers First will offer the Customer an alternative delivery method. Some Products in the range are delivered directly from Farmers First's suppliers, which means that partial deliveries can take place and that the Express delivery method is not available for these Products. Farmers First reserves the right not to always offer all delivery methods. Backlisted Product is sent when Farmers First has received delivery from its supplier.

Normal delivery: There is an additional shipping fee of SEK 199 excluding VAT. The product that is in stock at Farmers First and has been ordered before 16.00 is delivered within 1-3 working days.

Express delivery: If Express delivery is required, Farmers First customer support must be contacted. Additional fees may apply.

For deliveries not collected, the Customer will be charged the costs incurred by Farmers First, however at least SEK 200 excluding VAT.

8. Delay

Unless otherwise agreed between the Parties and the delivery takes more than thirty (30) working days beyond the promised delivery time and this is not due to the Customer, the Customer has the right to cancel the Agreement. Farmers First has no compensation liability towards the Customer due to delay.

9. Warranty

Warranties on Products are provided by the Products' respective manufacturer or distributor. In addition to these guarantees, Farmers First makes no further guarantees.

10. Complaint

If the Customer wishes to claim a fault in the delivered Product (complaint), Farmers First must be notified immediately after the fault has been discovered or should have been discovered, but no later than two years after the Customer received the Product. If, according to Farmers First's instructions, the Product is to be returned to Farmers First, this must be done within thirty (30) days of the complaint.

In the event of a late complaint or if, in the specified case, return does not take place within the prescribed time, all rights to invoke the error expire. In the event of a complaint, it is up to the Customer who complains to prove that the Product was purchased by Farmers First in the Web Store and that the guarantee is applicable by presenting the original delivery document issued by Farmers First or the equivalent.

Farmers First reserves the right to deny a complaint if it turns out that the Product is not faulty and in such cases to charge the Customer a reasonable fee for carried out troubleshooting and for the cost of returning the Product to the Customer.

11. Liability for errors

If a fault has been found in the delivered Product and Farmers First is responsible for this, it is incumbent on Farmers First, at its own discretion, to remedy the fault through repair, redelivery or price reduction. Additional rights for the Customer may follow from the manufacturer's or distributor's guarantees.

12. Limitation of Liability

Farmers First is not responsible for damage to property other than the delivered Product, nor for indirect damage or loss or for consequential damage. Farmers First's total liability towards the Customer due to an Agreement is limited to the amount corresponding to the price excluding VAT for the Product or Products covered by the Agreement.

13. Processing of personal data

Farmers First processes personal data in accordance with applicable data protection legislation. Farmers First is the personal data controller for its treatments. Farmers First is obliged under the applicable data protection legislation to inform about the personal data processing that takes place under these Terms. If the Customer is a company with employees, the Customer himself is responsible for providing the employees with such information. Personal data that is processed under the agreement is e.g. name, address, telephone number, e-mail address, social security number, organization number, company name, customer number, information about registered machines, as well as purchase history, payment and invoicing information. Farmers First processes the customer's personal data for the following purposes:

  • For the fulfillment of the purchase agreement with the Customer;
  • For the fulfillment of Farmers First's legal obligations;
  • To inform the Customer about Farmers First's services and changes to these Terms;
  • For marketing purposes, including marketing via e-mail and SMS/MMS about Farmers First, its group companies and Farmers First's partners. If the Customer does not wish to continue taking part in such marketing, contact Farmers First using the contact details below. Direct marketing can to some extent be adapted based on a few parameters that are combined from different sources, such as e.g. company size and production profile
  • To provide, maintain, test, improve and develop Farmers First's technical platforms on which these are offered; and
  • To produce de-identified statistics.

The customer's personal data is processed so that Farmers First can fulfill obligations according to the agreement with the customer or because Farmers First has a legitimate interest in processing personal data that outweighs the customer's interest that personal data is not processed. Farmers First never discloses personal data to third parties outside Farmers First's group, except when, as a result of law, regulation or authority decision, Farmers First is obliged to disclose personal data to third parties. Furthermore, Farmers First in some cases uses IT suppliers and other personal data assistants who may have access to the group's IT environments from third countries outside the EU/EEA. Companies that handle personal data on behalf of Farmers First must always sign a personal data agreement with Farmers First. In relation to suppliers outside the EU/EEA, special protective measures are taken, e.g. signing agreements that include standardized model clauses issued by the European Commission.

According to applicable data protection legislation, the Customer has the right under certain circumstances to request access to and correction of personal data, object to processing and have it restricted, and a right to data portability. The customer also has the right to lodge a complaint with the Data Inspectorate at any time if the customer believes that personal data is being processed in violation of the applicable data protection legislation. 14. Intellectual Property Rights

The content of the Webshop is owned by Farmers First or a third party and is protected by Swedish and international legislation. All rights reserved. Unauthorized use or distribution of the content of the Webshop may violate copyright, trademark law and/or other Swedish or international legislation and may be subject to legal action. The content of the Webshop may not be changed, transmitted, reproduced, published, licensed, transferred or sold without prior written approval from Farmers First or another rights holder.

15. Miscellaneous

Farmers First reserves the right to change these Terms if necessary. The Terms and Conditions that are available in the Webshop when the Customer completes the purchase are valid. Farmers First cannot be held responsible for inconvenience and damage due to circumstances beyond Farmers First's control (force majeure). If nothing else can be shown, war, acts of war, mobilization or general conscription, civil war, fire, flood and comparable circumstances shall be deemed attributable to force majeure. The parties commit to each other within the framework of the Agreement to comply with applicable laws, rules and regulations that prohibit bribery and other corruption-related crimes, money laundering and improper anti-competitive behavior.

16. Applicable Law and Disputes

Swedish law shall apply to the Agreement. Disputes arising from Agreements to which these Terms and Conditions apply shall be finally settled by arbitration in accordance with the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC). The arbitration shall take place in Stockholm. The arbitration board shall consist of an arbitrator. Rules for Simplified Arbitration shall be applied unless the Stockholm Chamber of Commerce's Arbitration Institute (SCC), taking into account the degree of difficulty of the case, the value of the object of dispute and other circumstances, decides that Arbitration Rules shall be applied. However, Farmers First always has the right to apply for a payment order or bring an action in general court regarding non-payment."
